• INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SITE OR SERVICES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF JET'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN JURISDICTIONS WHERE THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SITE EXCEED THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Site in any unauthorized manner;
• Any content you submit, post, or transmit through the Site;
• Your violation of any law or regulation or the rights of a third party;
• Any fraudulent, deceptive, or harmful actions taken by you in connection with the Site or our services.

Any legal action or proceeding arising out of or relating to these Terms, the Site, or our services shall be brought exclusively in the state or federal courts of competent jurisdiction located in the United States. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to jurisdiction or venue in such courts.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Jet's Pizza at [email protected] and attempt to resolve any dispute informally. We will make good-faith efforts to resolve the matter within thirty (30) days of receiving your written notice. This informal resolution process is a condition precedent to initiating any formal dispute resolution proceeding.

14.2 Binding Arbitration

IF INFORMAL RESOLUTION IS UNSUCCESSFUL, YOU AND JET'S PIZZA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SITE SHALL BE RESOLVED THROUGH BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT AS PROVIDED BELOW.

The arbitration shall be conducted by a nationally recognized arbitration organization, such as the American Arbitration Association (AAA), under its then-current Consumer Arbitration Rules. The arbitration shall take place in the United States, and the arbitration proceedings shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND JET'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both you and Jet's Pizza waive any right to a jury trial. You also agree not to participate in a class action lawsuit or class-wide arbitration against Jet's Pizza.

14.4 Small Claims Court Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

15. Term and Termination

15.1 Term

These Terms become effective on the date you first access or use the Site and shall remain in full force and effect for as long as you continue to use the Site or maintain an account with us, unless earlier terminated in accordance with this section.

15.2 Termination by You

You may terminate your use of the Site at any time by discontinuing use and, if applicable, by closing your account. Closing your account does not relieve you of any obligations or liabilities that arose prior to the termination date.

15.3 Termination by Jet's Pizza

We reserve the right, at our sole discretion and without prior notice, to:

Any waiver by Jet's Pizza must be in writing and signed by an authorized representative to be effective.

19. Entire Agreement
